These Terms and Conditions ("Terms") govern all transactions, interactions, and agreements between Bhavina Enterprises ("we", "us", "our") and any individual or business entity ("you", "the buyer", "the customer") who purchases products, makes enquiries, or engages with us in any capacity.

By placing an order, making a payment, or confirming a purchase — whether in person at our premises, via phone call, WhatsApp, email, our website, or any other medium — you confirm that you have read, understood, and agreed to these Terms.

We reserve the right to update or amend these Terms at any time. The most current version will be available on our website at www.bhavinaenterprises.com. Continued engagement following any update constitutes acceptance of the revised Terms.

Definitions

"Company"
Bhavina Enterprises, a wholesale and import business operating from Nelamangala, Bengaluru, Karnataka 562123.
"Customer" / "Buyer"
Any individual, retailer, reseller, or business entity that purchases or enquires about products from Bhavina Enterprises.
"Products"
All goods listed in the Bhavina Enterprises catalogue, including but not limited to items across all 12 product categories.
"Order"
A confirmed request to purchase one or more products, accepted by Bhavina Enterprises and acknowledged via any communication channel.
"Wholesale Price"
Trade pricing available to buyers who purchase in bulk quantities, as quoted by Bhavina Enterprises at the time of order.
"Website"
www.bhavinaenterprises.com and any associated pages or subdomains operated by Bhavina Enterprises.

Catalogue & Pricing

Products & Pricing

All prices shown on our website, catalogue, or communicated via any channel are in Indian Rupees (₹) and are exclusive of applicable taxes (GST) unless explicitly stated otherwise.

Prices are subject to change without prior notice, particularly due to fluctuations in import costs, currency exchange rates, or supplier pricing. The price applicable to your order will be the price confirmed at the time of order acknowledgement.

Product images on our catalogue and website are for illustrative purposes. Minor variations in colour, finish, or packaging may occur due to import batches or manufacturer updates.
Products marked as "Ask Price" have pricing available on direct enquiry. These prices are subject to change based on current import costs and stock availability.
Products marked as "Stock Out" are temporarily unavailable. We do not guarantee a restocking timeline for out-of-stock items.
Bulk discount pricing is available at our discretion and will be confirmed in writing (via WhatsApp or email) before order confirmation.
We reserve the right to withdraw any product from sale at any time without notice or liability.

Purchasing

Orders & Payment

An order is considered confirmed only when Bhavina Enterprises explicitly acknowledges it — verbally in person, via WhatsApp message, or through another written communication. Enquiries or price requests do not constitute confirmed orders.

Payment Policy Full payment or an agreed advance is required before goods are dispatched. We do not ship on credit unless a prior written credit arrangement has been agreed. Accepted payment methods include bank transfer (NEFT/RTGS/IMPS), UPI, and cash for in-person purchases.
Orders may be cancelled by the buyer before dispatch, subject to any advance payment being non-refundable where goods have already been packed or reserved.
We reserve the right to cancel any order at our discretion — for example, due to stock unavailability or pricing errors — and will promptly refund any amounts paid.
Minimum order quantities (MOQ) may apply to certain products. These will be communicated at the time of enquiry.
Any invoice or billing document issued by Bhavina Enterprises constitutes the final agreed price for that order. Disputes regarding invoiced amounts must be raised within 48 hours of receipt.

Logistics

Delivery & Shipping

Bhavina Enterprises supplies products across India. Delivery timelines, shipping charges, and carriers used will be confirmed at the time of order. Estimated delivery times are provided in good faith but are not guaranteed, as they depend on third-party logistics providers.

Shipping costs, if applicable, are the responsibility of the buyer unless otherwise agreed in writing.
Risk of loss or damage to goods passes to the buyer upon dispatch from our premises or handover to the logistics carrier.
Bhavina Enterprises is not liable for delays, losses, or damages caused by third-party courier or logistics services once goods have been dispatched.
For local buyers in Bengaluru, in-person pickup from our Nelamangala premises is available and encouraged to avoid shipping costs and delays.
Any damage noted upon delivery must be reported to us within 24 hours of receipt, with photographic evidence, in order to be eligible for a claim.

After Purchase

Returns & Refunds

Important — Please Read All sales are generally final. Given the wholesale nature of our business and the import sourcing involved, we are unable to accept returns simply due to a change of mind. Returns are accepted only in the specific circumstances listed below.

We stand behind the quality of the products we supply. If you receive goods that are genuinely defective, incorrect, or significantly different from what was agreed at order time, we will work with you to resolve the issue fairly.

Defective goods: If a product is found to be defective or non-functional on arrival, report this within 48 hours of receipt with clear photos or video evidence. We will assess and offer a replacement, credit note, or refund at our discretion.
Wrong items: If you receive items different from what was confirmed in your order, notify us within 48 hours. We will arrange collection and resend the correct goods or issue a full refund.
Transit damage: Damage caused in transit must be reported within 24 hours with photographic evidence. Claims submitted after this window will not be accepted.
Not accepted: Returns will not be accepted for change of mind, goods that have been used, opened, or resold, or for minor cosmetic variations that do not affect product functionality.
Approved refunds will be processed within 7–10 business days via the original payment method.
Return shipping costs for approved returns are to be borne by the buyer unless the error was ours.

Trade Buyers

Wholesale Terms

Bhavina Enterprises is a wholesale business. Our primary customers are retailers, resellers, and e-commerce sellers. The following terms apply specifically to wholesale transactions.

Wholesale pricing is offered on bulk purchases. Minimum order quantities (MOQ) per product will be communicated during enquiry and may vary by product category.
Wholesale prices are not available for single-unit purchases. Single units, where available, are charged at standard retail-equivalent pricing.
We reserve the right to verify the nature of a buyer's business before extending wholesale pricing. Misrepresentation of business type may result in order cancellation.
Buyers are responsible for all compliance with applicable laws when reselling our products, including but not limited to GST registration, product labelling regulations, and consumer protection laws in their respective markets.
Bhavina Enterprises does not provide any exclusivity arrangements unless specifically agreed in a separate written contract signed by both parties.
We are not responsible for the pricing at which buyers choose to resell our products. Buyers set their own retail prices independently.

Intellectual Property

All content on the Bhavina Enterprises website — including but not limited to text, product descriptions, catalogue designs, images, logos, brand names, and layout — is the property of Bhavina Enterprises or its content suppliers and is protected under applicable Indian intellectual property laws.

You may not copy, reproduce, distribute, publish, or commercially exploit any content from our website or catalogue without our prior written consent. Personal, non-commercial use for reference purposes is permitted.

The Bhavina Enterprises name and BE logo are proprietary brand identifiers. Unauthorised use of our brand identity in any medium is strictly prohibited and may result in legal action.

Our Liability

Limitation of Liability

Key Limitation To the maximum extent permitted by applicable law, Bhavina Enterprises' total liability to you for any claim arising from a transaction shall not exceed the value of the goods purchased in that specific transaction.
We are not liable for any indirect, incidental, special, or consequential losses — including loss of profit, loss of business, or loss of anticipated savings — arising from your use of our products or services.
We do not warrant that products will meet specific performance, fitness, or profitability expectations beyond what is clearly described in the product listing or communicated at the time of sale.
We are not responsible for any losses incurred by buyers arising from misuse of products, failure to follow usage instructions, or resale in violation of applicable law.
Our website is provided on an "as is" basis. We make no warranties regarding uninterrupted access, accuracy of all product information, or freedom from errors.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Jurisdiction

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India, specifically as applicable in the state of Karnataka.

Any disputes arising from or in connection with these Terms, or any transaction with Bhavina Enterprises, shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

These Terms constitute the entire agreement between you and Bhavina Enterprises with respect to your use of our services and supersede all prior discussions, representations, or understandings.
